Basic Requirements
To register a company in Cambodia, you need to meet the following requirements:
- Business e-Visa: You must have a business e-visa, which must be extended for at least six months.
- Office Lease: You need to rent an office with a lease agreement for at least one year.
- Company Structure: An LLC (Limited Liability Company) or Sole Proprietorship costs less to register than a medium or large enterprise, but tax obligations remain the same.
- Ownership & Management: Foreigners can be directors and have 100% control of the company. They may also employ local Cambodian staff if needed.
- Registration Timeline: The process typically takes 3 to 6 weeks, depending on the type of company being registered.
- Presence Requirement: Initially, company owners do not need to be physically present in Cambodia, but they must eventually visit to sign documents and allow authorities to inspect the office.

- VAT: A 10% Value Added Tax (VAT) applies to self-declaration regime entities on most goods and services.
- Office Tax: 10% of the rental fee.
- Income Tax: Ranges from 5% to 10% on average.

- Foreign directors: $700
- Khmer shareholders or directors: $700
- Capital Gains Tax: 20% or 1% per month if no profit is declared.
